WEB DESIGN & WEB DEVELOPMENT INCLUDING HOSTING
As  Mumbai Media Studio, also offers a web design service, services that require web development & hosting will be invoiced separately.

VALIDITY OF THE AGREEMENT
Either party may terminate the agreement on 45 working days written notice to the other party. Mumbai Media Studio reserves the right to cease immediately, without liability, the service and to terminate this agreement if you should go into liquidation or bankruptcy, or if you fail to meet any obligation in accordance with this agreement. You may cancel the agreement at any time, but a minimum of 30% of the remaining estimate balance will be chargeable. Mumbai Media Studio will refund a proportional amount of any fees paid down to the minimum 25% of the remaining balance.

ASSIGNMENT & DELEGATION
Mumbai Media Studio, may assign or transfer our rights and responsibilities under this contract to another party. We may also subcontract the performance of any of our responsibilities under this contract to another party. You may not assign or transfer any of your rights or responsibilities under this contract to anyone else without our prior written consent.
Due to the public nature of the Internet, all material submitted by you for publication will be considered publicly accessible. We do not screen in advance customer material submitted to Mumbai Media Studio for publication or any other Brand Management Services we provide.

JURISDICTION AND APPLICABLE LAW
The Indian courts in Mumbai will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site.

These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of India in the state of Maharashtra.

VARIATIONS AND CHANGES

MARKETING POLICY
Although Mumbai Media Studio won’t divulge details about clients to other clients, potential or existing, we ask that you allow us to mention you in our Cases webpage. This will include a link to your page that we got onto Google’s first page and the phrase that it’s found with.

RELATIONSHIP OF THE PARTIES
The parties intend that an independent contractor relationship will be created by this contract, and that no partnership, joint venture or employee/employer relationship is intended or implied.

PROJECT PROCESS
Mumbai Media Studio, will provide and agree with you a start date as to when service can begin. We will also provide a monthly report on tasks carried out based on the monthly or annual subscription you have paid for.

NON WAIVER
Failure by any party to enforce any right or obligation with respect to any matter arising in connection with this contract shall not constitute a waiver as to that matter or any other matter either then or in the future. Any waiver of any right or obligation under this contract shall only be of any force and effect if such waiver is in writing and is expressly stated to be a waiver of a specified right or obligation under this contract.

SEO LIABILITY STATEMENT:
SEO (Search Engine Optimization) is a complex area with many variables, and Mumbai Media Studio cannot offer you a guarantee that your site will get high rankings for your preferred phrases, especially in very competitive market areas but can assure that continues activity & effort will increase the possibility of ranking factors. Mumbai Media Studio, will also not be held responsible for techniques that are used today but may no longer be favorable by search engines in the future. In order to future proof yourself against Search Engines updating their guidelines, we recommend you hold regular SEO reviews of your website.

TERMS OF PAYMENT
In order to commence work, a payment of 80% deposit will be required. On completion of work, the remaining 20% maybe or will be invoiced separately. This payment will be due within 30 days of invoice being received. If Mumbai Media Studio has to hand over to a debt collection agency for recovery of moneys owed, you will be responsible for the costs of the debt collection agency and will be added to the debt.

LATE OR NON PAYMENT
If payment has been declined or has not been made, Client’s account will be suspended and a reactivation fee of $100 will apply. For returned cheques due to insufficient funds, Mumbai Media Studio reserves the right to request alternate payment method. If payment has not been received after 30 days, this will result in termination of our services and any links and SEO work will be removed. Cancelled accounts cannot be reactivated and any account history or information will not be retrievable. No refund will be given thereafter.

SALE OF GOODS & SERVICES
These terms and conditions shall apply to all contracts for the sale of goods (whether written or oral) by the seller to the buyer to the exclusion of all other terms and conditions including any terms and conditions which the buyer may purport to apply under any purchase order confirmation of order or similar document.

All orders for goods & services from this website or our brochure are subject to these terms and conditions and our acceptance.

No other terms apply unless agreed in writing by us. Our full terms and conditions are available on request. All prices exclude carriage, packaging and Service Charges or VAT, which are charged at the prevailing rate on the date of invoicing.

We reserve the right to alter specifications, designs and prices of any of our products / services without prior notice.

Quoted prices are subject to the sight of artwork and we reserve the right to charge for studio time where retouching, scanning or artwork amendments are required. No work will commence until the buyer’s approval of artwork has been received. The buyer will meet any costs (in full) arising from changes requested once production has commenced.

Risk in the goods will pass to you on delivery to the address specified in your order.

Ownership of the goods & services shall not pass to you until we have received cash or cleared funds in full for the price of the goods and all other goods agreed to be sold, for which payment is then due.

You must notify us within 7 days of delivery of the goods if they are incorrect or incomplete and you must notify us within 7 days of receipt of our invoice if the goods have not been delivered.

These conditions of sale are subject to the law of India, State of Maharashtra.
